Griddy Sports, Inc. - Terms and Conditions

1. Introduction
Welcome to Griddy, a mobile application owned and operated by Griddy Sports, Inc., a Delaware corporation (“Company,” “we,” “our,” or “us”). By accessing or using the Griddy app (“App”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms, please do not use the App.
2. User Eligibility
The App is not intended for use by children under the age of 13. By using the App, you represent that you are at least 13 years old and have the legal capacity to enter into these Terms. If you are under the age of 13, please do not use the App.
2.1. Compliance with COPPA and Other Laws: Griddy Sports, Inc. is committed to complying with the Children’s Online Privacy Protection Act (COPPA) and other applicable privacy laws that provide enhanced protections for children’s data. As a result, we do not knowingly collect or solicit personal information from children under 13. If we learn that we have collected personal information from a child under 13 without verification of parental consent, we will delete that information as quickly as possible. 3. Account Creation and Management
To use the App, you must create an account by providing a verifiable phone number. Access to the App is granted by entering a 6-digit code sent to your provided phone number. You are responsible for ensuring that the phone number you provide is accurate and up-to-date. You acknowledge that standard text messaging and data rates may apply when receiving codes or other communications from us.
4. User Conduct
While using the App, you agree not to engage in any of the following prohibited activities:
- Harassment, abuse, or harm of any kind toward other users.
- Cheating or attempting to manipulate the outcome of any game or feature within the App.
- Uploading or distributing any malicious code, viruses, or other harmful software.
- Impersonating any person or entity or falsely representing your affiliation with any person or entity.
Griddy Sports, Inc. reserves the right to update, manipulate, suspend, or terminate any account at any time, for any reason, without notice.
5. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal disputes arising out of or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
6. Disclaimers and Limitation of Liability
6.1. Disclaimers: To the maximum extent permitted by law, the App is provided “as is” and “as available,” without warranties of any kind, either express or implied, including but not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. Griddy Sports, Inc. does not guarantee that the App will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
6.2. Limitation of Liability: In no event shall Griddy Sports, Inc., its affiliates, directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the App; (ii) any conduct or content of any third party on the App; (iii) any unauthorized access, use, or alteration of your transmissions or content; (iv) any inaccuracies in data or other content within the App; or (v) any other matter relating to the App. The aggregate liability of Griddy Sports, Inc. shall not exceed the amount you have paid, if any, to use the App in the twelve (12) months preceding the event giving rise to the claim.
7. Termination of Services
You may delete your account at any time through the App’s settings. Upon deletion, all user data will be permanently removed from our servers, except as required by law. Griddy Sports, Inc. reserves the right to update, manipulate, suspend, or terminate any account at any time, for any reason, without notice. Upon termination, your rights to use the App will immediately cease.
8. Intellectual Property
All content, features, and functionality on the App, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, and software, are the exclusive property of Griddy Sports, Inc. or its licensors and are protected by intellectual property laws.
8.1. Licensed Content: The App may include content that is licensed from third parties, including but not limited to NFL logos, team names, and player images (“Licensed Content”). This Licensed Content is the intellectual property of the respective third-party owners and is used by Griddy Sports, Inc. under license. You acknowledge that you do not acquire any ownership rights in the Licensed Content by using the App.
8.2. User Restrictions: You are granted a limited, non-exclusive, non-transferable license to access and use the App and the content provided therein for your personal, non-commercial use only. You agree not to copy, reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the App, including the Licensed Content, without the express prior written consent of Griddy Sports, Inc. or the respective third-party owner.
8.3. Trademarks: All trademarks, service marks, logos, and trade names appearing on the App, whether registered or unregistered, are the property of Griddy Sports, Inc. or their respective owners. The use of any of these marks without the prior written consent of Griddy Sports, Inc. or the respective owners is strictly prohibited.
9. Payments
There are no payments possible to Griddy, in the app or otherwise. Any features or content provided through the App are offered free of charge, and Griddy Sports, Inc. does not solicit or accept payments from users.
10. Third-Party Services and APIs
The App may integrate with third-party services or APIs necessary to operate the game. Griddy Sports, Inc. is not responsible for the content, accuracy, or performance of third-party services. Your use of third-party services is governed by the terms and conditions of the respective third-party providers.
11. Updates and Modifications
Griddy Sports, Inc. reserves the right to modify these Terms at any time. If we make material changes to these Terms, we will provide notice through the App or by other means before the changes take effect. Your continued use of the App after any such changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the App.
