Griddy Sports, Inc. - Terms and Conditions

1. Introduction

Welcome to Griddy, a mobile application owned and operated by Griddy Sports, Inc., a Delaware corporation (“Company,” “we,” “our,” or “us”). By accessing or using the Griddy app (the “App”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree with these Terms, please do not use the App.

2. User Eligibility

The App is not intended for use by children under the age of 13. By using the App, you represent that you are at least 13 years old and have the legal capacity to enter into these Terms. If you are under the age of 13, please do not use the App.

2.1. Compliance with COPPA and Other Laws: Griddy Sports, Inc. complies with the Children’s Online Privacy Protection Act (COPPA) and other applicable privacy laws. We do not knowingly collect or solicit personal information from children under 13. If we learn that we have collected personal information from a child under 13 without parental consent, we will promptly delete that information. If you believe that a child under 13 has provided us with personal information, please contact us at support@griddy.cc.

3. Account Creation and Management

To use the App, you must create an account using a verifiable phone number or sign in via a supported third-party platform such as Apple or Google (a “Single Sign-On” or “SSO” provider). You are responsible for maintaining accurate and up-to-date account information.

Access is typically granted via a one-time 6-digit code sent to your phone, or through authentication with your SSO provider. Standard message and data rates may apply.

You are solely responsible for all activity conducted through your account. We are not liable for any unauthorized access or use of your account.

We reserve the right to suspend, restrict, or terminate your account at any time for any reason, including but not limited to violations of these Terms, suspected fraud, or misuse of the App.

4. User Conduct

You agree not to:

Harass, abuse, threaten, or harm other users.
Cheat, exploit, or manipulate gameplay or the App’s systems.
Upload or distribute viruses, malware, or other harmful software.
Impersonate others or misrepresent your identity or affiliation.
Violate any applicable law or regulation.

We enforce Community Standards to protect users and ensure a safe environment. We reserve the right to investigate and take action on any conduct we deem inappropriate, including suspending or terminating accounts that use offensive, hateful, obscene, or misleading usernames.

We may suspend or permanently terminate accounts without notice at our sole discretion.

5. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal disputes arising out of or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

6. Disclaimers and Limitation of Liability

6.1. Disclaimers: To the maximum extent permitted by law, the App is provided “as is” and “as available,” without warranties of any kind, express or implied. We do not guarantee that the App will be uninterrupted, secure, error-free, or free from harmful components.

6.2. Limitation of Liability: To the fullest extent permitted by law, Griddy Sports, Inc. and its affiliates, directors, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from:
(i) your access to or use of or inability to access or use the App
(ii) any conduct or content of any third party on the App
(iii) any unauthorized access, use, or alteration of your transmissions or content
(iv) any inaccuracies in data or other content within the App; or
(v) any other matter relating to the App.

The aggregate liability of Griddy Sports, Inc. shall not exceed the amount you have paid, if any, to use the App in the twelve (12) months preceding the event giving rise to the claim.

6.3. Licensed Third-Party Content: Griddy may display real-world player names, likenesses, team names, and related football content under license from an official third-party data provider. This licensed content is used exclusively to support in-app gameplay.

Griddy Sports, Inc. is not affiliated with, endorsed by, or sponsored by the National Football League (NFL), any of its teams, or any NFL players. All team names, logos, player names, and likenesses are the property of their respective owners.

7. In-App Purchases and Virtual Items

7.1. Consumables and Virtual Currency: The App may offer optional in-app purchases, including but not limited to virtual tokens, consumables, and other digital goods (“Virtual Items”). These items have no real-world monetary value and are not redeemable or exchangeable outside of the App except when explicitly awarded directly by Griddy or through authorized partner promotions.

7.2. All Sales Are Final (Except at Our Sole Discretion): All purchases made through the App are generally non-refundable and non-transferable, except where required by law or at our sole discretion. Refund requests must be submitted through the platform from which the App was downloaded (e.g., Apple App Store or Google Play). Griddy Sports, Inc. cannot process or guarantee refunds outside of the App Store’s or Play Store’s policies.

7.3. License to Use: You are granted a limited, non-exclusive, non-transferable, revocable license to use Virtual Items solely within the App for your personal entertainment. You do not own any Virtual Items; all rights remain with Griddy Sports, Inc.

7.4. Modification, Expiry, and Termination: We reserve the right to manage, control, modify, suspend, or remove any Virtual Items or pricing at any time, for any reason, with or without notice. Virtual Items may expire, become unusable, or be removed from the App at our discretion.
We are not liable for any perceived or actual loss of value of Virtual Items due to gameplay changes, technical issues, or account restrictions.

7.5. Billing and Chargebacks: All transactions are processed by your platform provider (Apple or Google). You agree not to initiate chargebacks or payment disputes for valid in-app purchases. We may suspend or terminate your account and/or revoke access to Virtual Items if a chargeback or payment reversal is initiated.

7.6. Minors and Parental Consent: If you are under the age of majority in your jurisdiction, you may only make purchases with the involvement and consent of a parent or legal guardian. Griddy Sports, Inc. is not responsible for any unauthorized purchases made by minors.

8. User Conduct

From time to time, Griddy may distribute promotional codes (“Promo Codes”) directly or through authorized third-party partners. Promo Codes may be redeemed exclusively via the Griddy website and cannot be redeemed within the Griddy mobile app. There are no other authorized redemption channels

Promo Codes:

Have no cash value and are non-transferable.
May not be sold, bartered, or exchanged.
Are valid only if obtained from Griddy or an authorized third-party partner.
May be offered with or without requiring a purchase, at Griddy’s sole discretion.
May be modified, suspended, or terminated by Griddy at any time, without notice.

If you participate in a third-party promotion to qualify for a Promo Code, you acknowledge and agree that:

Griddy is not liable for lost, stolen, expired, or invalid Promo Codes. By redeeming a Promo Code, you represent that it was obtained lawfully and in compliance with these Terms. Unauthorized or fraudulent use of Promo Codes may result in suspension or termination of your account.
